Terms of Service

1. Acceptance of Terms

By accessing or using ReserveLoop (the "Platform"), operated by Teknewlogy LLC ("ReserveLoop," "we," "us"), you agree to these Terms of Service. If you do not agree, do not use the Platform.

2. What ReserveLoop Is

ReserveLoop is a software platform that enables nightlife venues ("Clubs") to manage reservations, deposits, guest relationships, and table operations. ReserveLoop is a technology provider only. ReserveLoop is not a venue operator, is not a party to any reservation or deposit transaction between a Club and a guest, and does not control or take responsibility for any Club's pricing, event content, capacity, age policies, alcohol service, or on-premises conduct.

3. Accounts and Roles

Club Owners create and are solely responsible for their Club's account, including all Staff ("Promoters") they invite. Club Owners are responsible for ensuring Staff comply with these Terms. Guests and Ballers (individuals who book and pay for tables) are not required to create accounts and interact with the Platform solely through public booking links.

4. Bookings, Deposits, and Payments

All deposits and payments made through the Platform are processed directly through the Club's own Stripe account. The Club, not ReserveLoop, is the merchant of record for every transaction. ReserveLoop never custodies, holds, or has access to guest funds at any point.

Deposits are non-refundable except at the sole discretion of the Club. ReserveLoop is not responsible for issuing, processing, approving, or denying any refund. Any refund request must be directed to the Club directly. See our Refund Policy for further detail.

ReserveLoop charges Clubs a platform fee per reservation, separate from any monthly subscription fee, as disclosed at checkout or in the Club's dashboard.

5. Club Owner Responsibilities

Each Club is solely responsible for: compliance with all local, state, and federal laws applicable to its venue, including liquor licensing, age verification, occupancy limits, fire code, and health and safety regulations; accuracy of event listings, pricing, and deposit policies; and the conduct of its Staff, security personnel, and premises.

ReserveLoop makes no representation regarding, and assumes no liability for, any Club's legal compliance, venue safety, or on-premises incidents.

6. Guest and Baller Conduct

By booking through the Platform, guests agree to comply with the applicable Club's house rules, dress code, age policy, and staff instructions. ReserveLoop is not responsible for denial of entry, changes to event details, or disputes between a guest and a Club.

7. Prohibited Use

You may not use the Platform to: violate any law; misrepresent your identity or affiliation with a Club; circumvent booking or payment systems; scrape, reverse-engineer, or resell Platform data; or send unsolicited communications through the Platform's SMS or email tools in violation of TCPA, CAN-SPAM, or similar law.

8. Intellectual Property

ReserveLoop and its logo, design, and software are the property of Teknewlogy LLC. Clubs retain ownership of their own event content, branding, and guest data, subject to the license granted to ReserveLoop to process that data solely to provide the Platform.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RESERVELOOP DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESERVELOOP'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE PLATFORM FEES PAID BY THE RELEVANT CLUB TO RESERVELOOP IN THE THREE (3) MONTHS PRECEDING THE CLAIM. RESERVELOOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUE, LOST DEPOSITS, OR DAMAGES ARISING FROM ANY CLUB'S VENUE OPERATIONS.

11. Indemnification

Each Club agrees to indemnify, defend, and hold harmless ReserveLoop and Teknewlogy LLC from any claim, damage, or expense (including reasonable attorneys' fees) arising from: the Club's venue operations, alcohol service, or premises; the Club's violation of any law or third-party right; disputes between the Club and any guest, Baller, or Staff member; or the Club's refund, cancellation, or deposit decisions.

12. Termination

ReserveLoop may suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses risk to the Platform or other users. Clubs may cancel their subscription at any time as described in our Refund Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute shall be resolved through binding individual arbitration, and you waive any right to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
